anuário brasileiro do setor de locação de veículos 2016 48 DIREÇÃO 2016/2017 O Conselho Fiscal da ABLA tem funcionamento permanente e é composto por 12 integrantes (seis titulares e seis suplentes) que são eleitos pela Assembleia Geral de Associadas. Assim como no Conselho Gestor, também no Conselho Fiscal é respeitada sempre, tanto para os titulares como para os suplentes, a proporcionalidade de 50% de empresários que atuam em redes e 50% que atuam em locadoras independentes. O mandato também é de dois anos e as reuniões são trimestrais. Responsável por analisar o balancete e demais demonstrações financeiras elaboradas periodicamente pela Associação, esse Conselho fiscaliza os atos dos administradores e verifica o cumprimento dos seus deveres legais e estatutários. CONSELHO FISCAL Trata-se do órgão que opina sobre os relatórios da administração e faz constar em seus pareceres as informações que julgar necessárias ou úteis às deliberações da Assembleia Geral de Associadas. Além disso, tem acesso às cópias das atas das reuniões do Conselho Gestor, assim como as cópias dos balancetes e demais demonstrações financeiras elaboradas na ABLA, assim como decide sobre a contratação das auditorias contábeis e fiscais. Estatutariamente, o Conselho Fiscal deve ser representado por um ou mais integrantes em todas as reuniões de Assembleia Geral, para responder aos pedidos de informações sobre as demonstrações financeiras que venham a ser formulados pelas locadoras associadas. ABLA’s Fiscal Board has permanent functioning and is formed by 12 members (6 sitting members and 6 substitute members) who are elected by the General Assembly of Affiliates. As well as in the Managing Board, also in the Fiscal Board the proportion of 50% of entrepreneurs who operate with networks and 50% who operate with independent rental companies is respected, both for sitting and substitute members. The mandate is also 2 years long and the meetings are trimestral. Responsible for analyzing the balance sheet and other financial demonstrations periodically elaborated by the Association, this Board inspects the administrators’ actions and checks the fulfilling of their legal and statutory duties. This is the sector that opines about the reports made by the administration and makes evident on its reports the complementary information it deems necessary or useful to the deliberations of the General Assembly of Associates. Also, the Fiscal Board has access to the copies of the minutes of all the meetings of the Administration Board, as well as the copies of the balance sheets and other financial demonstrations elaborated in the Association. Statutorily, the Fiscal Board must be represented by one or more members in all the meetings of the General Assembly, to answer to the requests of information about the financial demonstrations formulated by the associate rental companies.
